1. Agreement to Terms

By installing, authorizing, or using the Echo AI Zoom App (“Service” or “App”), operated by Calvo Dulce Productions LLC (“we,” “our,” or “us”), you agree to these Terms of Use and our Privacy Policy. If you disagree with any part, discontinue use immediately.

Echo AI integrates with Zoom but is not affiliated with or endorsed by Zoom Video Communications, Inc.

2. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) and have authority to enter into this agreement.

You must provide accurate, complete information during registration and keep it updated.

You are responsible for safeguarding your login credentials and notifying us of unauthorized use.

3. License & Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

All intellectual property, including software, documentation, and content, remains our property or that of our licensors.

You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

AI-generated summaries and text are for informational use only and may not be reproduced or represented as factual statements or advice.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful, infringing, or abusive activities.
• Upload or transmit malware, spam, or content violating privacy or intellectual property rights.
• Interfere with the integrity or performance of the Service or any third-party systems.
• Sell, resell, or exploit the Service without written consent.
• Attempt to extract, repurpose, or systematically store meeting data or AI outputs beyond your authorized use.

5. User Content

Meeting-related content is processed ephemerally in memory and deleted once the meeting ends.

You represent that you have rights to provide such content and that it does not violate third-party rights or laws.

6. Data Handling & Privacy

We collect, use, and safeguard personal information as described in our Privacy Policy.

AI processing is performed by OpenAI, L.L.C., which receives text data solely for generating responses under confidentiality and data protection terms.

If third-party integrations are enabled, you authorize us to access and process associated data as needed to provide the Service.

6A. AI Processing & Output Disclaimer

The Service uses artificial intelligence models to generate meeting summaries, keywords, and related outputs. These outputs may contain inaccuracies or omissions and are provided for informational purposes only. You agree to independently verify important information and understand that we are not responsible for any reliance on AI-generated content.

7. Subscriptions & Payment

Fees, billing cycles, and applicable taxes are described at purchase; you agree to pay all charges when due.

Unless otherwise stated, subscriptions auto-renew; you may cancel before renewal to avoid future charges.

Past-due amounts may incur interest and collection costs. We may suspend or terminate access for non-payment.

8. Service Availability & Modifications

The Service may change over time; we may add, remove, or modify features with notice when practicable.

Beta and experimental features may change or be discontinued at any time without notice. You grant permission for us to collect non-identifiable feedback to improve the Service.

We aim for high availability but do not guarantee uninterrupted access. Planned outages and maintenance will be communicated when feasible.

9. Third-Party Services

The Service may integrate with third-party applications. Their terms and privacy policies govern your use of those services.

We do not control or guarantee the continued availability of third-party APIs, including Zoom and OpenAI. Service interruptions may occur if those providers change or experience outages.

10. Disclaimers

The Service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

We do not warrant that the Service will be error-free, secure, or compatible with every environment, nor that AI outputs will be accurate, complete, or suitable for any specific use.

11. Limitation of Liability

To the extent permitted, we are not liable for indirect, incidental, consequential, special, or punitive damages, or lost profits, even if advised of the possibility.

Our aggregate liability for claims arising under these terms will not exceed the amounts you paid us in the preceding 12 months.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, costs, and expenses arising from your use of the Service, violation of these terms, or infringement of third-party rights.

13. Term & Termination

These terms remain in effect while you use the Service.

You may terminate your account at any time. We may suspend or terminate access for breach, legal obligations, or security risks, with notice where reasonable.

Upon termination, your license ends, and we may delete or deactivate your account data subject to retention obligations.

14. Updates to Terms

We may update these terms to reflect legal, operational, or product changes. We will notify you of material updates via the Service or email. Continued use after the effective date constitutes acceptance.

15. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Colorado, United States, excluding its conflict-of-law rules.

Disputes will be resolved exclusively in the state or federal courts located in Boulder County, Colorado. You consent to their jurisdiction.
